How to open a corporate settlement account?

To open an account you must submit the following documents:

1.     Memorandum and Articles of Association.

2.     Certificate of Incorporation.

3.     Certificate of registered office.

4.     Certificate of Directors and Secretary.

5.     Certificate of Shareholders, Shares.

6.     Deed of Trust between the nominal shareholder and beneficial owner of the company.

7.     Appointment of Bankers or Power of Attorney (pdf, doc).

8.     Certified copies of director, secretary, shareholders, beneficial owner of the company, and the authorized person’s passports.

9.     Bank's reference issued in the name of the authorized person to manage accounts of the company and the beneficial owner of the company.

10.   Document confirming the place of residence of directors, shareholders, beneficial owner of the company, and the authorised person.

11.   Certificate of Good Standing for companies older than 1 year.

12.   Bank reference issued to the company from its bank.

Please note! For a better understanding of the customer’s activity, the bank may require submission of the latest auditor’s or directors' report.It is a general set of documents, and in each case it can be either added or reduced, it depends on the documents of the company.

General document submission requirements:

- All documents must be submitted to the Bank in originals and in English (or translated into English);

– Copies of passports of the beneficial owner and authorised person must be certified by the authorised officer of the bank, and a certified copy of the passport must be signed by its holder;

– Copy of the shareholder’s passport must be certified by the authorised officer of PrivatBank or notarised and apostilled;

– It is not necessary to certify copies of director’s and secretary’s passports;

– If the nominee shareholder is a company, it is necessary to submit a copy of its certificate of registration, certificate of address, certificate of directors/secretaries, certificate of shareholders, as well as copies of passports of directors, secretary, shareholders and documents confirming the place of residence of directors and shareholders These documents must be certified by the authorised officer of PrivatBank or notarised and apostilled;

– If the director/secretary of the company is another company, it is necessary to submit a copy of its certificate of registration and certificate of directors, as well as a copy of the director’s passport. These documents must be certified by the director of the company;

– Bank reference for the authorised person to manage accounts of the company and the beneficial owner of the company must be issued by the customer’s service bank and reflect its positive reputation. Such recommendations are accepted from banks included in the Bankers Almanac;

– The following instruments may be considered as a document confirming the place of residence of directors, shareholders, beneficial owner of the company, and the authorised person:
1) original utility bill for the last 6 months;
2) original bank account statement (indicating the customer’s residence address) for the last 6 months;
3) banking proof of residential address valid for the last 6 months.
